Fractional general counsel

A legal function for companies that are not ready to hire one.

Many companies need a lawyer on the ground every week, but not a full-time employee. We act as your general counsel for an agreed scope, and stay close enough to the business to know what is going on.

Who it suits

Technology companies with real legal work and no legal team.

  • Startups

Post-incorporation, pre-Series A, with contracts and a cap table that keep changing.

  • SaaS

Customer agreements, data terms and security questionnaires arriving faster than they can be answered.

  • FinTech

Products that sit near regulators and need someone reading the circulars.

  • Web3

Token, platform and user-terms questions with no settled statute to lean on.

  • Cross-border companies

Foreign teams selling into India, or Indian teams selling abroad.

What is included

Scope is agreed in writing at the start.

  • 01

    Contracts

Customer, vendor, employment and partner agreements, reviewed, drafted and negotiated.

  • 02

    Compliance

A calendar of what is due under which law, and who owns each item.

  • 03

    Policies

Privacy, AI use, security and workplace policies, kept in step with the product.

  • 04

    IP housekeeping

Trade mark filings, assignments from staff and contractors, ownership checks.

  • 05

    Board and investor support

Resolutions, cap table questions and responses to diligence requests.

  • 06

    A lawyer to ask first

A person to consult before a decision is made, not after.

Court representation is a separate matter and is scoped separately. [CONFIRM WITH PARTNERS]

How an engagement runs

Five steps, in order.

  1. Step 01

    Intake

A working session on the business, its contracts and its open issues.

  2. Step 02

    Legal health check

We review what already exists: incorporation documents, contracts, IP, policies and filings. You receive a written list of gaps, in order of urgency.

  3. Step 03

    Scope

We agree in writing what the engagement covers, how requests reach us and what turnaround to expect.

  4. Step 04

    Working rhythm

Requests come through one shared channel. A regular call covers what is open. Deadlines sit in the compliance calendar.

  5. Step 05

    Review

Scope is revisited as the business changes.

Terms of engagement are discussed directly. They are not published on this site.

06 / Contact

Write to us about an engagement.

Send a short note on the business and the issue. Sending a message does not create a lawyer-client relationship.
